Tyco to Acquire Broadview Security for $1.9 Billion

Security and industrial products manufacturer Tyco International Ltd. revealed on Monday that it has agreed to take over security and protection services provider Brink's Home Security Holdings.

The cash-and-stock deal values Broadview at $42.50 a share, a more than 35 percent premium to its Friday closing price of $31.42.

The deal to combine Broadview with its ADT security business is speculated to contribute to the earnings before special items by about 7 cents in the first full year after closing, expecting earnings of between 63 cents and 65 cents a share from continuing operations, excluding special items, for the fiscal first quarter of 2010.

"Broadview's strong presence in the North American security market ... will enhance ADT's financial performance and support our long-term growth in this large, fragmented and highly competitive industry", Chief Executive Ed Breen said.

Irving has more than 1.3 million revenue accounts in North America with annual revenue of nearly $565 million. While, ADT has more than 7.4 million recurring revenue accounts globally, and reports generated revenue of $7.0 billion in fiscal 2009.

The deal is expected to close in the second half of Tyco's fiscal year that begins September 26, 2009.
