Icahn to Nominate Genzyme Board Nominees, Including Himself

Genzyme Corp revealed on Monday that billionaire investor Carl Icahn has extended a notice to the biotechnology company that he plans to nominate himself and three others to the company's board of directors.

In addition, Genzyme posted it will evaluate the nominees and then give a recommendation for shareholders. Chairman and Chief Executive Henri A. Termeer stated that the company is open and responsive to input from shareholders and said he welcomes "a constructive dialogue with Mr. Icahn".

Genzyme's board included nine directors. All are reported to be up for election at the annual meeting scheduled for May 20.

Icahn Partners LP and certain of its affiliates unveiled their plan to nominate Icahn himself, as well as Dr. Alexander Denner, Dr. Richard Mulligan and Dr. Steven Burakoff.

Genzyme is reported to cope up from a manufacturing crisis that led to shortages of two if its top-selling products and dented the company's credibility with patients and investors

Genzyme has faced numerous manufacturing related problems and many investors reveal that new leadership might be indispensable for a full recovery.
